By using the SmartSplitAI Contract Review service, you confirm that you have read this disclaimer and accept its terms.

1. Document Confidentiality

1.1. Uploaded contracts, annexes, tracked changes, comments, commercial terms, and AI analysis results are treated by the Service as confidential information. Such processing is carried out in accordance with the Terms of Use and the Privacy Policy. The Service does not guarantee the accuracy or completeness of AI analysis — see sections below.

2. Nature of AI Analysis

1.1. SmartSplitAI Contract Review (the "Service") uses artificial intelligence (AI) technologies and large language models (LLMs) to automatically compare contracts and identify changes.

1.2. AI Analysis is based on probabilistic algorithms and may contain errors, inaccuracies, and omissions.

3. What the AI Analysis result is NOT

The AI Analysis result provided by the Service:

  • Is NOT legal advice. The Service does not replace a qualified lawyer or law firm.
  • Is NOT financial advice. The Service does not assess the financial consequences of contract changes.
  • Is NOT tax advice. The Service does not take into account the tax implications of contractual terms.
  • Is NOT an audit or due diligence. The Service does not guarantee a comprehensive contract review.

4. Limitations of AI Analysis

3.1. The Service does not guarantee:

  • Detection of all changes between the reference contract and the counterparty version;
  • Correct classification of all risks (high / medium / low);
  • Identification of all legal, financial, tax, and operational risks;
  • Correct interpretation of complex legal structures and non-standard terms;
  • Compliance of results with the requirements of a specific jurisdiction or industry.

3.2. The quality of AI Analysis depends on numerous factors, including document formatting, complexity of legal language, volume of changes, and limitations of the AI model used.

3.3. AI Analysis of Word/DOCX editorial comments is limited by a technical cap: no more than 20 comments in a single report. This limitation does not apply to the analysis of contract text changes, differences between versions, or material adjustments to contract terms.

5. User Obligations

4.1. The User agrees to:

  • Independently verify and evaluate AI Analysis results;
  • Make decisions based on their own professional judgment, not solely on AI Analysis;
  • For high-value or high-risk contracts — conduct mandatory manual review by a qualified specialist;
  • Not use the Service as the sole source of contract risk assessment.

6. Disclaimer of Warranties

5.1. The Service is provided on an "as is" and "as available" basis, without any express or implied warranties, including but not limited to:

  • Warranties of merchantability;
  • Warranties of fitness for a particular purpose;
  • Warranties of accuracy, completeness, or timeliness of information;
  • Warranties of non-infringement of third-party intellectual property rights.

7. Limitation of Liability

6.1. Under no circumstances shall the Service, its owner, operator, developers, or affiliated parties be liable for:

  • Direct or indirect damages of any kind arising from the use or inability to use the Service;
  • Lost profits, loss of data, reputational damage;
  • Decisions made based on or taking into account AI Analysis results;
  • Legal, financial, tax, or other consequences of using AI Analysis results.

8. Recommendation

7.1. The Service strongly recommends:

  • Engaging a qualified lawyer for independent review of all material contracts;
  • Not relying solely on AI Analysis when making legally significant decisions;
  • Treating AI Analysis results as an auxiliary tool, not as a replacement for professional expertise.
