1. Document Confidentiality
1.1. Uploaded contracts, annexes, tracked changes, comments, commercial terms, and AI analysis results are treated by the Service as confidential information. Such processing is carried out in accordance with the Terms of Use and the Privacy Policy. The Service does not guarantee the accuracy or completeness of AI analysis — see sections below.
2. Nature of AI Analysis
2.1. SmartSplitAI Contract Review (the "Service") uses artificial intelligence (AI) technologies and large language models (LLMs) to analyze contracts and contractual risks. Contract version comparison is a separate capability available when the User selects the corresponding function.
2.2. AI analysis is based on probabilistic algorithms and may contain errors, inaccuracies, and omissions.
2.3. The quality of AI analysis depends on the structure, format, and readability of the uploaded documents.
3. What the AI Analysis Result Is Not
3.1. The AI analysis result may contain legal, financial, tax, and operational observations, however it:
- IS NOT legal advice. The Service does not replace a qualified lawyer or law firm.
- IS NOT financial advice. The Service does not provide financial recommendations.
- IS NOT tax advice. The Service does not provide tax recommendations.
- IS NOT accounting advice. The Service does not provide accounting recommendations.
- IS NOT an audit or due diligence. The Service does not guarantee a comprehensive contract review.
4. Limitations of AI Analysis
4.1. The Service does not guarantee:
- Detection of all changes, risks, errors, or inconsistencies in the uploaded documents;
- Correct classification of all risks;
- Identification of all legal, financial, tax, and operational risks;
- Correct interpretation of complex legal constructions and non-standard terms;
- Compliance of the result with the requirements of a specific jurisdiction or industry.
4.2. The quality of AI analysis depends on many factors, including document structure and formatting, the complexity of legal language, the volume of changes, and the limitations of the AI model used.
5. User Obligations
5.1. The User agrees to:
- Independently verify and evaluate AI analysis results;
- Make decisions based on their own professional judgment, not solely on AI analysis;
- For high-value or high-risk contracts — mandatorily conduct a manual review by a qualified specialist;
- Not use the Service as the sole source of contract risk assessment.
6. No Warranties
6.1. The Service is provided on an "as is" and "as available" basis, without any express or implied warranties, including but not limited to:
- Warranties of merchantability;
- Warranties of fitness for a particular purpose;
- Warranties of accuracy, completeness, or timeliness of information;
- Warranties of non-infringement of third-party intellectual property rights.
7. Limitation of Liability
7.1. To the extent permitted by applicable law, the Service, its owner, operator, developers, or affiliated persons shall not be liable for:
- Direct or indirect losses of any kind arising from the use or inability to use the Service;
- Lost profits, loss of data, reputational damage;
- Decisions made based on or taking into account AI analysis results;
- Legal, financial, tax, or other consequences of using AI analysis results.
8. Recommendation
8.1. The Service strongly recommends:
- Engaging a qualified lawyer for an independent review of all material contracts;
- Not relying solely on AI analysis when making legally significant decisions;
- Considering AI analysis results as an auxiliary tool, not as a replacement for professional expertise.
